Terms of Service

1. Description of Service

HappyClinic is a B2B clinic management SaaS platform designed for physiotherapy clinics in India, operated by YUKTAI, Pune. The Service includes:

• Patient registration, appointment scheduling, and session management
• Course booking, payment tracking, and billing ledger
• Recovery analytics — session-wise pain scores, ROM, and strength tracking
• Clinical case sheets and PDF referral report generation
• Calendar, analytics dashboard, and patient directory

2. Account Registration

To use the Service, you must create a clinic account. You agree to:

• Provide accurate and complete information during signup
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account
• Use the platform only for your own registered clinic

3. Subscription and Payment

The Service is provided on a subscription basis, processed securely through Razorpay.

• A 30-day free trial is available upon signup with a valid coupon code — no payment required upfront
• Monthly plan: ₹999/month billed in advance
• Annual plan: ₹10,999/year billed in advance (saves ₹989 — 1 month free)
• Subscriptions renew automatically unless cancelled before the renewal date
• Prices may change with 30 days prior notice to your registered email
• We do not store your card or bank details — all payments are handled by Razorpay

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable Indian or international laws or regulations
• Enter false or fabricated patient records
• Attempt to access another clinic's data or circumvent security measures
• Reverse engineer, decompile, or extract the underlying source code or platform logic
• Resell, sublicense, or share your account with other clinics or individuals
• Use the platform for any purpose other than managing your own registered clinic
• Generate, store, or transmit content that is abusive, unlawful, or harmful

5. Prohibited Use & Account Termination

The following uses are strictly prohibited and will result in immediate account termination without prior notice and without eligibility for a refund:

HappyClinic reserves the right to terminate any account found in violation of this section immediately and without prior notice. Terminated accounts will not be eligible for any refund.

6. Patient Data and Ownership

All patient records, clinical notes, and data you enter into HappyClinic remain your property. You retain full ownership and control. We act only as a data processor on your behalf and do not use your patient data for any commercial purpose.

As a registered healthcare professional, you are solely responsible for maintaining appropriate patient consents for digital record-keeping, in accordance with applicable Indian medical regulations and the Digital Personal Data Protection Act, 2023.

7. PDF Reports and Clinical Content

PDF clinical reports generated within HappyClinic are created locally in your browser. They are not uploaded to or stored on our servers. You are responsible for the accuracy of clinical information entered and for how generated reports are used or shared with patients, referral doctors, or other parties.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to notify you in advance of planned downtime.

9. Termination

You may cancel your subscription at any time by contacting us. You will retain access until the end of your current billing period. Upon cancellation, your account and all associated clinic data will be retained for 60 days to allow export, then permanently deleted.

We may terminate or suspend your account if you violate these Terms. Upon termination for violation, your data may be deleted immediately without the 60-day retention period.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, YUKTAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

12. Changes to Terms

We may update these Terms at any time. We will notify you by email for any material changes. The latest version will always be available at thehappyclinic.netlify.app/terms. Continued use of the Service after any changes constitutes your acceptance of the updated Terms.
